These Terms apply to all visitors, users, and clients. We reserve the right to update these Terms at any time. Continued use of our website or services after changes constitutes your acceptance.

2. Description of Services

MTT provides AI powered software solutions and IT consulting services across multiple industry domains, including but not limited to:

• Healthcare technology and clinical management systems
• Agricultural intelligence and farm management platforms
• Point of sale and retail management software
• Education technology and learning management systems
• Human resources and workforce management solutions
• Custom AI solutions and enterprise software development

Specific deliverables, timelines, pricing, and service levels are defined in individual project agreements or statements of work (“SOW”) executed between MTT and the Client.

3. Use of the Website

You agree to use this website only for lawful purposes. You must not:

• Use the website in any way that violates applicable local, national, or international laws or regulations
• Transmit any unsolicited or unauthorised advertising or promotional material
• Attempt to gain unauthorised access to any part of the website, its server, or any connected systems

With respect to software and deliverables developed for clients under a signed agreement, intellectual property ownership will be as specified in the relevant SOW or project contract. Unless otherwise agreed in writing, MTT retains ownership of all general-purpose tools, frameworks, and pre-existing code incorporated into client deliverables.

5. Client Responsibilities

When engaging MTT services, you agree to:

• Provide accurate, complete, and timely information required for project delivery
• Designate an authorised point of contact for project communications
• Review and provide feedback on deliverables within agreed timelines
• Ensure all third party assets, data, or licences you provide are lawfully obtained
• Make payments as specified in the applicable agreement or invoice

6. Payment Terms

Unless otherwise stated in a signed agreement, invoices are due within 30 days of issuance. MTT reserves the right to suspend services for overdue accounts. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. All fees are exclusive of applicable taxes unless stated otherwise.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of any service agreement. Confidential information does not include information that is publicly available, independently developed, or lawfully received from a third party without restriction.

8. Disclaimer of Warranties

This website and its content are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non infringement. MTT does not warrant that the website will be uninterrupted, error free, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, MTT and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages including loss of profits, data, goodwill, or business interruption arising out of or in connection with your use of the website or services, even if we have been advised of the possibility of such damages. Our total aggregate liability in connection with any service engagement shall not exceed the fees paid by you for the relevant service in the three months preceding the claim.

You agree to indemnify, defend, and hold harmless MTT and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses including reasonable legal fees arising out of or in any way connected with your use of our website or services, your violation of these Terms, or your infringement of any third party rights.

Our website may contain links to third party websites or integrate third party tools. These are provided for convenience only. MTT does not endorse and is not responsible for the content, privacy practices, or terms of any third party site or service.

12. Termination

MTT reserves the right to suspend or terminate access to its website or services at its sole discretion, without notice, for conduct that violates these Terms or is otherwise harmful to other users, third parties, or the business interests of MTT. Upon termination, all licences granted herein shall immediately cease, and any outstanding payments remain due.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
